Terms of Service

1. Agreement
These Terms of Service (“Terms”) govern your use of services provided by Remergant LLC (“Remergant,” “we,” “us”), a Wyoming limited liability company with a registered address at 407 Lincoln Road, Suite 8N 160, Miami Beach, FL 33139, United States.
By engaging Remergant for any services — including Flat Rate work, Service Block commitments, or Managed Platform agreements — you agree to these Terms.
2. Services
Remergant provides professional technology services organized into four disciplines: IT Support & Maintenance, Automation & Integration, Architecture & Infrastructure, and AI & Agentic Systems. We also build and operate Managed Platforms — custom revenue infrastructure systems operated on an ongoing basis.
All services are scoped and priced before work begins. We do not perform work without prior agreement on scope and price.
3. Pricing and Payment
Effort-Based Pricing
All work is priced using effort spans — named time bands with fixed billing amounts. The effort span and price are quoted and approved before work begins. The quoted price does not change regardless of whether actual effort falls slightly above or below the span.
Flat Rate
Flat Rate work is available for IT Support and Automation tasks without a Service Block commitment. Each task is quoted at a fixed price and must be paid in full before work begins. Flat Rate pricing includes a convenience premium over Service Block rates.
Service Blocks
Service Blocks are prepaid commitments at a specified dollar amount. Upon purchase, you receive a volume discount applied to all work across the four service disciplines. Hours are drawn from your block balance as work is completed.
Expiration: Service Blocks do not expire within two (2) years of purchase. If a Service Block remains unused or carries a remaining balance after two (2) years from the date of purchase, the unused balance will be refunded to you.
Monthly Payments: Monthly payment arrangements are available for Service Blocks. Work is performed only while a prepaid balance is available. If the balance reaches zero, work pauses until the balance is replenished or individual tasks are purchased at Flat Rate. No debt or obligation accrues on either side when work is paused.
Balance Notifications: We will notify you as your Service Block balance approaches depletion so you can decide whether to replenish, adjust your commitment level, or transition to Flat Rate billing.
Managed Platforms
Managed Platform engagements are governed by a separate platform agreement that specifies the scope of the platform, the fee structure (base fee, transaction percentage, and event fees), and the terms of ongoing operation. Platform agreements are executed after a mutual evaluation process.
Currency
Services are billed in USD, CAD, or MXN as agreed at the start of the engagement. Rates are set independently for each currency and are not converted between currencies.
4. Scope and Approval
All work is scoped and priced before it begins. You will receive a description of the work, the effort span, and the price for your approval. Work does not proceed without your explicit approval of the scope and price.
If additional work is identified during an engagement, it is quoted separately. We do not expand scope without your knowledge and approval.
5. Intellectual Property
Professional Services (Flat Rate and Service Block)
Work product created by Remergant in the course of delivering professional services — including automation workflows, system configurations, and custom integrations — is owned by you upon payment in full, unless otherwise specified in a separate agreement.
Managed Platforms
Remergant builds, owns, and operates Managed Platform code, workflows, and configurations on your behalf. During the engagement, you have full operational use of the platform. You do not own the platform code by virtue of paying platform fees.
If you wish to take ownership of the platform (upon cancellation or otherwise), you may purchase it at its full book value. Upon purchase, you receive a perpetual, non-exclusive, single-use license. This license permits you to operate, maintain, and modify the platform for your own business use. It does not permit redistribution, resale, sublicensing, or the creation of derived works for use by other businesses. Remergant’s Retained Rights
Remergant retains the right to use general knowledge, techniques, methodologies, reusable components, and non-client-specific tools developed during any engagement for other clients and internal purposes. Client-specific business rules, data, and configurations are not reused.
6. Confidentiality
We treat all client business information, financial data, and system access credentials as confidential. We do not share client information with third parties except as required to deliver services (e.g., integration with your accounting system) or as required by law.
You agree to keep confidential any proprietary methodologies, pricing structures, or technical approaches shared by Remergant during the engagement.
7. Limitation of Liability
Remergant’s total liability for any claim arising from services provided under these Terms is limited to the amount paid by you for the specific service giving rise to the claim.
Remergant is not liable for indirect, incidental, consequential, or punitive damages, including lost revenue, lost data, or business interruption, regardless of the cause of action.
We do not guarantee specific business outcomes. Our services are professional technology services delivered with reasonable skill and care.
8. Termination
Flat Rate: Either party may decline to proceed with a quoted task before work begins at no cost.
Service Blocks: Either party may terminate the engagement at any time. Upon termination, the remaining Service Block balance is refunded to you, less any work completed but not yet billed.
Managed Platforms: Termination terms are specified in the platform agreement, including notice periods and transition provisions.
9. Dispute Resolution
Any disputes arising from these Terms will be resolved through good-faith negotiation between the parties. If negotiation does not resolve the dispute within thirty (30) days, the dispute will be submitted to binding arbitration under the rules of the American Arbitration Association, conducted in Miami-Dade County, Florida.
10. Governing Law
These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict of law principles.
11. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated to active clients before they take effect. Continued engagement after notification constitutes acceptance of the updated Terms.
